1. Acceptance of Terms
By accessing or using Q-Sync (“Application”), you agree to this Agreement. If you do not agree, do not use the Application.
2. Nature of the Service
Q-Sync is a middleware application that:
Extracts invoice data from Intuit (QuickBooks)
Transmits such data to the Nigeria Revenue Service (NRS) e-invoicing system
Q-Sync does not:
- Act as a tax authority
- Certify invoices
- Guarantee regulatory compliance or acceptance by NRS
3. License Grant
You are granted a limited, revocable, non-exclusive, non-transferable license to use Q-Sync.
4. User Obligations
You agree to:
- Provide accurate financial data
- Maintain valid QuickBooks authorization credentials
- Comply with all applicable tax laws in Nigeria
You are solely responsible for:
- Invoice accuracy
- Tax filings and compliance
5. QuickBooks Integration (OAuth Compliance)
Q-Sync connects to Intuit via secure OAuth 2.0 authorization.
We:
Do not store your QuickBooks login credentials
Access only authorized data scopes
Process data strictly for synchronization purposes
Use of QuickBooks is also subject to Intuit’s terms.
6. Subscription & Billing
Annual subscription applies
Fees are billed in advance
Non-payment results in suspension
Refunds are not provided except where legally required
7. Service Availability
We aim for high availability but do not guarantee uninterrupted service due to:
Third-party dependencies (QuickBooks, NRS)
Internet/network issues
8. Intellectual Property
All rights to Q-Sync remain with the Company. Unauthorized reproduction or reverse engineering is prohibited.
9. Data & Audit Logs
We may maintain logs of synchronization activities for:
Compliance
Troubleshooting
Regulatory audits
10. Termination
We may suspend or terminate access if:
You breach this Agreement
Required by law or regulatory authority
11. Disclaimer
The Application is provided “as is” without warranties of:
Accuracy
Reliability
Regulatory acceptance
12. Limitation of Liability
We are not liable for:
Tax penalties
Loss of revenue
Regulatory sanctions
Maximum liability = fees paid in last 12 months.
13. Governing Law
This Agreement is governed by the laws of Nigeria.
14. App Store Compliance
If downloaded via app stores:
You acknowledge no affiliation with platform providers
Platform providers bear no responsibility for the Application
